1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and KeyScale ("we," "us," or "our"), concerning your access to and use of the https://keyscale.co website as well as any related KeyScale service.

KeyScale provides AI agent configuration and operation, CRM workspace access, webchat, managed website design and hosting, and related digital services as described in each customer agreement.

2. Merchant of Record

Where an online payment provider or reseller is identified during checkout, that provider processes the transaction, applicable taxes, and billing information under its own terms.

3. Subscriptions and Payments

Project fees, recurring hosting or management fees, and optional services such as an AI agent are set out in the applicable proposal, order, or customer agreement.

• Billing Cycle: Subscription fees are billed on a recurring, periodic basis (monthly). You will be billed in advance on a recurring schedule.
• Payment Processing: Payments are processed by the provider identified at checkout or on the applicable invoice.
• Currency: All prices are listed and processed in United States Dollars (USD).
• Modifications: We reserve the right to change our subscription fees upon reasonable notice, which will apply to subsequent billing cycles.

4. Cancellation and Refund Policy

We work on a month-to-month subscription basis without long-term commitments.

• Cancellations: You may cancel your subscription at any time. Upon cancellation, your subscription access will remain active until the end of your current paid billing cycle.
• Refunds: Refund eligibility is governed by the applicable project agreement and our Refund Policy. Completed work and already-provided hosting or management periods are generally non-refundable.

5. Service Delivery and Workspace Use

KeyScale provides AI agents, CRM workspaces, webchat tools, websites, and managed infrastructure. Performance may depend on third-party platforms and customer-provided information. We do not guarantee specific business results, lead volumes, or revenue increases.

You agree to provide necessary setup parameters and abide by our acceptable use policies when utilizing our software.

Where an AI agent is enabled on your account, it generates replies from the knowledge base assembled from material you provide. Its output may be incomplete or incorrect, and it is not a substitute for professional, legal, medical, or financial advice. You control whether the agent replies automatically or only drafts replies for a person to review, and you remain responsible for the content sent to your customers under your name. We recommend keeping review enabled for any subject where an incorrect answer would cause harm.

6. Disclaimer of Warranties and Limitation of Liability

Our software is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our software will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, KeyScale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services and systems.

7. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial standards and data privacy framework guidelines.
